Terms of Use
Last updated: September 27, 2026 · Version 1.0
1. Who we are and what NotaFi is
NotaFi ("NotaFi", "we", "us") provides an online service that helps people record, organize and complete the sale of real property directly between a seller and a buyer, including sales financed by the seller. NotaFi is a transaction record and document service. It is not a law firm, a title or escrow company, a lender, a loan servicer, a broker, or a financial advisor, and it does not hold or move money.
2. Accounts
You must be at least 18 and able to enter a binding contract. Keep your login details private; you are responsible for activity on your account. Give us accurate information and keep it current. One person may act as a seller on one sale and a buyer on another.
3. Roles on a sale
Access to a sale is by invitation. Sellers create the sale and decide who to invite. Buyers, and title or escrow officers, join only through an invitation sent to their email address and see only the sale they were invited to. The seller alone decides whether to approve a buyer. NotaFi does not make or influence that decision.
4. What NotaFi does
NotaFi guides you through entering the terms you and the other party agreed to, collects the information your title or escrow company needs to close, assembles a package and intake sheet for them, keeps the documents and activity for the sale in one record, and, for seller-financed sales, prepares a boarding package for the loan servicer you choose. Document templates NotaFi generates were prepared by licensed attorneys for the states where NotaFi is available. State rules shown in the product are drawn from the statutes cited alongside them.
5. What NotaFi does not do
NotaFi does not give legal, tax, or financial advice, does not recommend terms, prices, rates, or buyers, does not verify the truth of what any user submits, does not insure title, does not lend, and does not collect, hold, or disburse funds. Closing is performed by the title or escrow company you choose; loan payments are collected by the servicer you choose. Those companies are independent of NotaFi and work under their own agreements with you.
6. Your content and documents
You keep ownership of what you upload. You give NotaFi permission to store, display and share it with the other participants on your sale, with the title or escrow company and servicer named on the sale, and with the service providers who host and deliver NotaFi, solely to provide the service. You confirm you have the right to upload what you upload. Do not upload bank account or routing numbers, Social Security numbers, or tax identification numbers; NotaFi does not ask for them and title collects them directly.
7. Electronic records and signatures
By using NotaFi you agree to receive records, notices and documents electronically and to use electronic signatures where NotaFi offers them, as described in our Electronic Records notice. You can request a paper copy of any document by contacting us.
8. Fees
Fees, if any, are shown before you commit to them. Fees for title, escrow, recording, servicing, insurance and any other third party are set and charged by those parties.
9. Acceptable use
Do not use NotaFi to break the law, to submit false information, to access a sale you were not invited to, to interfere with the service, or to collect other users' data. We may suspend or end access for misuse.
10. Third-party services
NotaFi relies on service providers for hosting, email delivery and similar functions, and connects you with title, escrow and servicing companies you choose. Their services are governed by their own terms. Links to state statutes and forms are provided for reference.
11. Availability and changes
NotaFi is available first in Texas and California. We may change, add or remove features, and we may update these Terms. If a change is material we will notify you in the product or by email, and you may need to accept the updated Terms to continue.
12. Disclaimer of warranties
NotaFi is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that a sale will close, that a buyer will pay, or that any document will have a particular legal effect.
13. Limitation of liability
To the fullest extent the law allows, NotaFi and its officers, employees and providers are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost data or lost opportunities, arising from the service or any sale recorded on it. Our total liability for any claim is limited to the fees you paid NotaFi in the twelve months before the claim, or one hundred dollars ($100) if you paid none.
14. Indemnity
You will defend and hold harmless NotaFi from claims arising from your use of the service, the information and documents you submit, or your breach of these Terms.
15. Termination
You may close your account at any time. Records of completed sales may be retained as described in the Privacy Policy. We may suspend or terminate access for breach of these Terms.
16. Governing law and disputes
These Terms are governed by the laws of the State of Texas. [Attorney to complete: venue and dispute-resolution provisions.]
